COURSE DESCRIPTION: This course allows participants from  to gain a good knowledge of what really needs to be in contracts with suppliers/customers. Among other things, participants will learn the following:

  • What is the difference between operating under a written contract vs. a letter of award?
  • Limitations of liability – the importance
  • Liquidated damages clauses
  • Exclusive Remedies clauses
  • What must you accept liability for?
  • Dealing with indirect or consequential damage
  • The importance of time limits for customer claims
  • Termination clauses
  • Providing protection to your employees under your customer contracts
  • Preventing customer poaching of your staff in your contracts
  • Acts of God and Excepted Risks
  • Should you have the duties to be performed detailed in the contract or as a separate document
